1. About Bookaroo®
Bookaroo® is an online ticketing facilitation platform operated by FlowIQ (Pty) Ltd, registration number 2025/503612/07, a South African private company.
Bookaroo provides technology that enables event organisers to list and sell tickets to their events. Bookaroo does not organise, host, manage, or control any events listed on the platform.
By accessing or using Bookaroo, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of the updated Terms.
These Terms apply to both ticket buyers and event organisers. Certain clauses apply specifically to organisers, and certain clauses apply specifically to consumers. Where you use Bookaroo as an organiser, you are also bound by any organiser agreement or commercial terms entered into with FlowIQ.
2. Key Roles and Responsibilities
Bookaroo acts as a technology service provider and facilitates ticket sales between Organisers and Consumers.
Event Organisers are merchants of record for all ticket sales and are solely responsible for organising, delivering, and managing their events, including all customer service, refunds, and cancellations.
Consumers are natural persons purchasing tickets for personal, non-commercial use.
When you purchase a ticket, you enter into an agreement directly with the event organiser. Bookaroo does not organise or control events, verify event information, or accept liability for event content, delivery, or non-performance.
3. Definitions
In these Terms, unless the context indicates otherwise:
- “Bookaroo”, “we”, “us”, or “our” means the Bookaroo ticketing facilitation platform operated by FlowIQ (Pty) Ltd.
- “FlowIQ” means FlowIQ (Pty) Ltd, registration number 2025/503612/07.
- “Service” means the Bookaroo website, platform, software, tools, ticketing functionality, communications, and related services made available by FlowIQ.
- “you” or “your” means any person or entity accessing or using the Service, including Consumers, Organisers, and any person acting on behalf of an Organiser.
- “Consumer” means a natural person who accesses Bookaroo or purchases tickets through Bookaroo for personal, non-commercial use.
- “Organiser” means any person, business, school, organisation, venue, or other entity that lists, promotes, manages, or sells tickets to an event through Bookaroo.
- “Event” means any performance, production, show, function, activity, or other ticketed event listed on Bookaroo by an Organiser.
- “Ticket” means an electronic ticket, QR code, booking confirmation, or other access credential issued through Bookaroo for an Event.
- “Payment Provider” means the third-party payment service provider used to process ticket payments, currently Paystack.
- “Platform Fee” means any service, facilitation, or platform fee charged by Bookaroo in accordance with the applicable Organiser agreement, commercial terms, or published fee arrangement.
4. Payment Processing
All payments for ticket purchases are processed through Paystack, a third-party payment provider, in accordance with PCI-DSS standards and applicable financial regulations. Bookaroo does not process, hold, manage, or control customer payment data or funds.
When you purchase a ticket, payment is processed by Paystack and charged to your card or account. Funds transfer directly to the event organiser, less Paystack’s processing fee and any Bookaroo platform service fee. Bookaroo retains no funds and maintains no fiduciary relationship with consumers or organisers.
Bookaroo does not issue refunds, process cancellations, or amend transactions. All refund, cancellation, and amendment requests must be directed to the event organiser. The organiser’s refund and cancellation policy governs your eligibility for a refund. Unless otherwise stated by the organiser or required by law, tickets may be non-refundable.
If an event is cancelled, postponed, or materially changed, the organiser is responsible for communicating with ticket holders and administering any refund, exchange, or alternative arrangement.
If you dispute a transaction with your bank or payment provider, you must also notify the event organiser. Chargebacks may result in suspension of organiser accounts and could affect future access to the Service.
5. Tickets, Entry and Event Attendance
Tickets purchased through Bookaroo are delivered electronically and may be provided by email, on-screen confirmation, QR code, or any other electronic method made available through the Service.
You are responsible for ensuring that the contact information provided during checkout is accurate and that you are able to access your ticket before attending the event. Bookaroo is not responsible for failed delivery or non-receipt of tickets where incorrect contact details are provided or where delivery is affected by factors outside Bookaroo’s reasonable control.
Each ticket is issued for the specific event, date, time, ticket type and quantity shown at the time of purchase. Unless expressly permitted by the organiser, tickets may not be exchanged, transferred, resold, duplicated, altered, or used for any unlawful or unauthorised purpose.
Ticket holders may be required to present a valid ticket, QR code, booking reference, proof of purchase, or other verification requested by the organiser or venue. Each ticket or QR code may only be scanned and used once. Once a ticket has been scanned or redeemed, it may not be reused.
You are responsible for keeping your ticket secure after delivery. Bookaroo is not responsible if a ticket, QR code or booking confirmation is copied, shared, forwarded, lost, stolen, misused, or redeemed by another person after it has been delivered to you.
Entry to an event is controlled by the organiser and/or venue, not Bookaroo. Admission may be subject to the organiser’s event rules, venue rules, age restrictions, seating rules, health and safety requirements, security checks, accessibility arrangements, or any other lawful conditions communicated by the organiser or venue.
The organiser or venue may refuse entry or remove a person from an event where reasonably necessary for safety, security, fraud prevention, capacity management, non-compliance with event or venue rules, unlawful conduct, abusive behaviour, intoxication, or any other lawful reason. Bookaroo is not responsible for any refusal of entry or removal from an event by the organiser or venue.
Bookaroo does not organise, host, manage, control, or supervise events. The organiser remains responsible for event delivery, venue access, seating arrangements, crowd control, entry management, and all event-day operational decisions.
6. Prohibited Practices and Conduct
Bookaroo prohibits misleading or deceptive conduct regarding events or transactions, aggressive or coercive sales tactics, unauthorised fees or hidden costs, and failure to disclose material terms before purchase. All event information and pricing must be transparent and clearly disclosed.
You agree not to:
- Access the Service unlawfully or for illegal purposes
- Impersonate any person or entity
- Harass, threaten, abuse, or defame any user
- Upload viruses or malware
- Engage in spam, phishing, or fraud
- Attempt to circumvent security measures
- Resell tickets in violation of organiser terms or law
- Violate intellectual property rights
- Violate any applicable law or third-party rights
Users are responsible for maintaining the confidentiality of their account credentials and for all activities under their account. You must notify Bookaroo immediately of any unauthorised access or suspected security breaches. Bookaroo may suspend or terminate your account if you breach these Terms, engage in prohibited conduct, pose a safety or legal risk, or fail to comply with applicable laws.
7. Intellectual Property
FlowIQ owns all intellectual property rights in the Bookaroo platform, website, mobile application, name, logo, branding, underlying technology, code, algorithms, features, and all original content created by FlowIQ. All intellectual property is protected by South African and international copyright, trademark, and design laws.
If you are an organiser, you retain ownership of event descriptions, images, and promotional content you provide. By uploading content to Bookaroo, you grant FlowIQ a non-exclusive, worldwide, royalty-free licence to display, reproduce, distribute, and use your content for marketing and promotional purposes related to the event and the Service.
By purchasing a ticket, you receive a limited, non-transferable licence to access and attend the event. This licence is personal to you, may not be sold or transferred without organiser consent, expires upon event completion, and grants you no intellectual property rights in the event or its content.
You may not reproduce, modify, or create derivative works from any Bookaroo content; reverse engineer or decompile any part of the Service; use the Service for competing commercial purposes; or remove any copyright or intellectual property notices.
8. Data Protection and Privacy
Bookaroo collects and processes personal information in accordance with the Protection of Personal Information Act, 4 of 2013, POPIA, the GDPR where applicable, and other applicable data protection laws. A full Privacy Policy is available at https://www.bookaroo.co.za/privacy.
By using the Service, you consent to Bookaroo’s collection and processing of your personal information for facilitating transactions, communicating about events and service updates, complying with legal obligations, improving the Service, and preventing fraud and security risks.
Your personal information may be shared with payment providers, including Paystack, for transaction processing, organisers for ticket fulfilment and communication, and law enforcement or regulators as required by law. Data is shared only to the extent necessary with appropriate safeguards.
You have the right to access your personal information held by Bookaroo, request correction of inaccurate information, request deletion of your data subject to legal retention, and object to certain processing activities. To exercise these rights, contact legal@bookaroo.co.za.
9. Electronic Transactions
Bookaroo complies with the Electronic Communications and Transactions Act, 25 of 2002, ECTA. By using the Service, you consent to receiving electronic communications, including confirmations, receipts, and notices, instead of paper documents, to electronic formation of legally binding transactions, and to the Service’s technical requirements for secure electronic transactions.
When you complete a transaction, you receive an electronic confirmation including event details, ticket type and quantity, total amount, and organiser contact information. This confirmation constitutes your receipt and proof of purchase. You should retain copies for your records.
The Service is made available from South Africa. Bookaroo makes no representation that the Service is accessible or appropriate outside South Africa. If you access the Service from outside South Africa, you do so at your own risk and are responsible for compliance with local laws.
10. Service Provided “As-Is”
Except as expressly stated in these Terms or required by applicable law, including the Consumer Protection Act, the Bookaroo platform is provided “as-is” and “as-available” without warranties of any kind. FlowIQ disclaims any warranty that the Service will be uninterrupted, error-free, or secure; any warranty regarding the accuracy or reliability of event information; or any warranty that the Service is suitable for your specific purposes.
Bookaroo does not guarantee uninterrupted or error-free Service availability. We may perform maintenance, updates, or improvements that temporarily affect availability and will use reasonable efforts to provide advance notice of planned downtime.
Bookaroo may contain links to third-party websites and services. FlowIQ does not control or endorse third-party content, is not liable for third-party websites or transactions, and recommends you review third-party privacy policies and terms before engaging with them.
11. Limitation of Liability
To the fullest extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, punitive, or exemplary damages; loss of revenue, profit, business opportunity, or anticipated savings; loss of data, goodwill, or reputation; or any damages arising from your use of or inability to use the Service.
12. Indemnification
You agree to indemnify, defend, and hold harmless FlowIQ and its officers, directors, employees, agents, and successors from any claims, damages, losses, costs, or expenses, including reasonable legal fees, arising from your breach of these Terms; your violation of any applicable law; your misuse of the Service or any user’s intellectual property rights; your transactions with organisers; content you provide or upload; or any claim that your content infringes third-party rights.
FlowIQ indemnifies you against third-party claims that the Bookaroo platform infringes a third-party’s intellectual property rights, provided you notify FlowIQ promptly, cooperate in defence, and allow FlowIQ to control the defence. This indemnity does not apply to claims arising from your modification of the platform or use with non-Bookaroo products.
13. Amendments and Termination
FlowIQ may amend these Terms at any time. We will provide notice of material amendments by posting updated Terms on the Bookaroo website, sending email notification to your registered email address, or providing prominent in-app notification.
14. General Provisions
Severability
If any provision is found invalid, illegal, or unenforceable by a court, that provision is severed and the remaining Terms continue in full force. The invalid provision will be reformed to the minimum extent necessary to make it enforceable while preserving original intent.
Waiver
No waiver of any provision or breach is effective unless in writing and signed by an authorised representative of FlowIQ. Failure to enforce any right does not constitute a waiver of that right. A waiver of one breach does not constitute a waiver of any other or subsequent breach.
Entire Agreement
These Terms, together with the Privacy Policy and any other policies published on the Bookaroo website, constitute the entire agreement regarding the Service and supersede all prior negotiations, understandings, and agreements. If there is conflict between these Terms and any other Bookaroo policy, these Terms prevail unless expressly stated otherwise.
Notices
FlowIQ may provide notices to you by email, in-app notification or posting on the Bookaroo website. Notices to FlowIQ must be sent to: FlowIQ (Pty) Ltd, Legal Department, Century Boulevard, Century City, Cape Town, legal@bookaroo.co.za. Notices are effective upon delivery or receipt.
Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of South Africa without regard to conflict-of-laws principles. Both parties submit to the exclusive jurisdiction of the courts of South Africa, specifically the Western Cape Division of the High Court, Cape Town, or such other court as may have jurisdiction. You irrevocably consent to this jurisdiction and waive any objection to venue. For disputes unresolved through the escalation process, either party may initiate legal proceedings in the appropriate court. Small claims under R15,000 may be brought in Small Claims Court.
Accessibility and Language
Bookaroo is committed to ensuring the Service is accessible to all users, including those with disabilities. We comply with applicable accessibility standards and welcome feedback on accessibility issues. Contact support@bookaroo.co.za if you encounter accessibility barriers. These Terms are provided in English. If the Service is provided in other languages, the English version prevails in the event of any discrepancy.

Headings and Construction
Section headings are for convenience only and do not affect interpretation. In case of conflict between these Terms and organiser-specific terms, these Terms prevail regarding the Service and Bookaroo’s obligations. However, organiser-specific terms govern event delivery and cancellation. These Terms are not construed strictly for or against either party based on who drafted them. Both parties have had the opportunity to seek legal advice.
